These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Peridius LLC, DBA CallFlow Leads ("Company," "we," "our," or "us"), governing your use of our website at callflowleads.com and all related SMS automation, missed call text-back, voice, and lead management services (collectively, the "Services").

You must be at least 18 years of age and legally authorized to enter into contracts to use our Services. By using our Services, you represent that you meet these requirements and that all information you provide is accurate and complete.

You, not CallFlow Leads, are responsible for ensuring your messaging campaigns are legally compliant. We reserve the right to suspend or terminate your account for violations.
Services are provided on a subscription or retainer basis as agreed upon during onboarding. By providing payment information, you authorize us to charge your payment method for all applicable fees.
These Terms begin on the date you first use our Services and continue until terminated. Either party may terminate the agreement with 30 days' written notice. We may terminate or suspend your account immediately for:
Upon termination, your access to the Services will cease. Data may be deleted 90 days after termination.
All content, branding, workflows, templates, and proprietary systems provided by CallFlow Leads remain the exclusive property of Peridius LLC. You are granted a limited, non-exclusive, non-transferable license to use our Services during the term of your agreement. You may not copy, resell, or reverse-engineer any part of our systems without written consent.
Both parties agree to keep confidential any non-public business information shared during the course of the engagement. This obligation survives termination of these Terms.
To the fullest extent permitted by law, Peridius LLC shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of or inability to use the Services, including but not limited to lost revenue, lost leads, or regulatory fines resulting from your messaging campaigns.
Our total cumulative liability to you shall not exceed the total fees paid by you to us in the three (3) months immediately preceding the claim.
The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted service. We do not guarantee specific results from using our automation services.
You agree to indemnify, defend, and hold harmless Peridius LLC and its officers, employees, and agents from and against any claims, liabilities, damages, and expenses (including attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) your messaging campaigns or communications sent using our platform.
These Terms shall be governed by the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be subject to good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in Palm Beach County, Florida, under the rules of the American Arbitration Association.
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice via email or website posting before changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
These Terms, together with any signed service agreements, constitute the entire agreement between you and Peridius LLC regarding the Services and supersede all prior agreements or understandings.
